These Terms and Conditions ("Terms") govern your access to and use of the Prolinks website at prolinksqr.com and all related services, including the web application, mobile applications, and API (collectively, the "Services"). The Services are provided by Prime Apps, a company registered in Armenia ("Prime Apps," "we," "us," or "our").

By creating an account or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

1. Description of Services

Prolinks provides dynamic QR code generation and management solutions. Our Services include creating customizable QR codes, link management and redirection, analytics and tracking (including scan location, time, device, and operating system data), cafe and menu management features, API access for integration, and team collaboration tools.

2. Account Registration

2.1 Account Creation

To use the Services, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

2.2 One Account Per Person

Each individual may only maintain one account. Creating multiple accounts is prohibited and may result in termination of all associated accounts.

2.3 Team Members

Account owners may invite additional users to their account as team members. The account owner is responsible for all actions taken by team members and ensuring their compliance with these Terms.

2.4 Account Transfers

Accounts are non-transferable. You may not sell, transfer, or assign your account to any other person or entity.

3. Free Trial and Subscription

3.1 Free Trial

We offer a fourteen (14) day free trial for new users. No credit card is required to start the free trial. At the end of the trial period, your account will be suspended and access to the Services, including API functionality, will be disabled until you subscribe to a paid plan.

3.2 Subscription Plans

Paid subscriptions are billed annually. Each plan includes specific usage limits for features such as QR codes, scans, and API calls. Usage beyond your plan limits may be restricted or require an upgrade to a higher tier.

3.3 Price Changes

We reserve the right to modify our pricing at any time. Price changes will take effect on your next renewal date. We will provide reasonable notice of any price increases.

3.4 No Refunds

All subscription payments are non-refundable. We do not provide refunds or credits for partial subscription periods, unused features, or account termination.

4. Payment Processing

Payment processing services are provided by LemonSqueezy. By subscribing to a paid plan, you agree to be bound by LemonSqueezy's terms of service and privacy policy. We do not store your complete payment information on our servers.

5. Acceptable Use

5.1 Permitted Use

You may use the Services only for lawful purposes and in accordance with these Terms. You agree to use the Services in a manner that does not abuse system resources or circumvent usage limits.

5.2 Prohibited Content and Conduct

You may not use the Services to create, distribute, or link to content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable. Specifically prohibited: nudity or sexual content; violent or graphic content; malware or malicious code; phishing attempts; spam; content infringing intellectual property; content promoting illegal activities.

5.3 System Abuse

You may not attempt to circumvent usage limits; use automated systems to access the Services in an excessive manner; interfere with or disrupt the Services; reverse engineer the platform; or use the Services to compete with Prolinks.

6. Intellectual Property

6.1 Our Intellectual Property

The Services, including all software, design, text, graphics, and other content, are owned by Prime Apps and are protected by intellectual property laws.

6.2 Your Content

You retain ownership of any content you create or upload through the Services. By using the Services, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and display your content solely for the purpose of providing the Services to you.

6.3 QR Codes

QR codes generated through the Services are owned by you. However, the underlying technology and infrastructure remain the property of Prime Apps.

7. Data Collection and Analytics

As part of providing analytics features, we collect and store data about QR code scans, including geographic location of scanners, time and date of scans, device information, operating system, and browser information. Please refer to our Privacy Policy for more information about how we handle data.

8. Service Availability

8.1 Uptime Target

We strive to maintain 99.99% uptime for our Services. However, this is a target and not a guarantee.

8.2 Maintenance and Updates

We may perform scheduled maintenance or updates that temporarily affect service availability.

8.3 QR Code Dependency

Important: QR codes created through our Services depend on our infrastructure to function. If your account is terminated, suspended, or expires, your QR codes will stop working.

9. Account Termination

9.1 Termination by You

You may close your account at any time through your account settings or by contacting us. Upon account closure, your data will be deleted immediately and cannot be recovered.

9.2 Termination by Us

We reserve the right to suspend or terminate your account immediately, without prior notice or liability, for any reason, including but not limited to: violation of these Terms; prohibited content; fraudulent activity; non-payment; or abuse of the Services.

9.3 Effect of Termination

Upon termination, your right to use the Services will immediately cease. All QR codes associated with your account will stop functioning.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRIME APPS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Prime Apps from and against any claims, liabilities, damages, losses, and expenses arising out of or in connection with your use of the Services or your violation of these Terms.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. Your continued use of the Services after any changes constitutes acceptance of the new Terms.

14. Governing Law

These Terms shall be governed by the laws of the Republic of Armenia. Any disputes shall be subject to the exclusive jurisdiction of the courts of Armenia.
